Governing Law

  1. These Terms are governed by and construed in accordance with the laws of the United States of America and the state of South Carolina.

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.   3. You agree that regardless of any statute or law to the contrary, any claim or cause of action related to the use of Mingle and Murder, LLC Services (or our Site) must be filed within one year after such claim or cause of action arose or be forever barred.

By accessing the Site and purchasing/using our Services, you agree to abide by the Terms and Conditions and License Agreements. Intellectual Property

  1. All “Content” on this Site as well as our products, including but not limited to text, graphics, logos, images, videos, software, as well as trademarks, service marks, and logos (“Marks”), are the property of Mingle and Murder, LLC and are protected by intellectual property laws. Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

     

  2. The Content and Marks are provided through our Services and are done so “AS IS” with your Personal or Business purpose only. You may not modify, reproduce, distribute, or exploit any Content from this Site or our Services without prior written permission from us.

Types of Licenses

Mingle and Murder offers two types of Licenses:

  • Personal License: A Personal License grants the buyer of our Services non-exclusive permission to use our products for personal and non-commercial use only. This License-type is automatically bestowed upon all Buyers of our Services upon purchase (if a Business License is not purchased) and does not have a limit on the number of uses. This License type does not have an expiration date and is valid in perpetuity (aside from the conditions described in the “Modifications” section of the License Agreement). Additionally, failure to comply with any term or condition of this License Agreement or our Terms and Conditions would immediately render the contract void, with no notice required. Services purchased with a Personal License are nontransferable and are for personal use only (i.e., personal entertainment and/or hosting non-commercial parties). Personal Licenses are not for use in any commercial or business capacity including, but not limited to, company events/parties, client/customer events, fundraisers, corporate team building, or any use where the buyer charges for participation in use of the Services.  

     

  • Business License: A Business License grants the buyer of our Services non-exclusive permission to use our products for commercial purposes. These could include but are not limited to, fundraisers, corporate team building, company events/parties, or any other use where a for-profit company is using our Services or an individual (or group) is charging participants. The License is nontransferable. A Business License does not have a limit on the number of uses. However, the Business License will expire twelve (12) months after the date of purchase or immediately upon failure to comply with any term or condition of this License Agreement or our Terms and Conditions. Business License fees are non-refundable.  

Restrictions:

Neither type of License permits the following:

  • Plagiarizing, reproducing, copying, altering, or in any way modifying the original content provided by our Services by you or a third party.
  • Reselling, recording, livestreaming, or donating any content provided by our Services, including partial and derivative works.
  • Posting any portion of content from our Services, including text, graphics, photos, online or otherwise. This includes the posting of spoilers that could potentially ruin the opportunity for future Mingle and Murder customers to purchase, partake in, and enjoy the content of our Services.
  • Use of content from our Services for anti-competitive practices and/or to attain a competitive advantage.
  • Removal of logos, copyright, and/or trademarks or any other violation of standing copyright and trademark laws. 

Failure to comply with all posted Terms and other policies voids your License Agreement(s) and could result in civil or criminal liability. Mingle and Murder retains the right to examine potential infractions and pursue any legal recourse. 

Disclaimers

  • All content provided when purchasing Services is provided “AS IS” without warranty.
  • You acknowledge that content may be personally objectionable and contain instances of the use of drugs and alcohol, violence, murder, betrayal, foul language, sexual situations, problematic behavior, and more.
  • You acknowledge that the Content provided by our Services may contain errors, typos, inconsistencies, and/or omissions. In instances of quality control issues, please contact us immediately to remedy the situation prior to your event. 
  • Mingle and Murder, LLC disclaims responsibility for failure to download, store, or print content once sent.
  • Mingle and Murder, LLC disclaims responsibility for un-timely delivery or misdelivery if an incorrect email address was used.

Limitation of Liability

  1. Mingle and Murder, LLC is not liable for any damages arising from the use or inability to use the Site, our Content, or our Services.

     

  2. In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised of the possibility of such damages. Modifications

  1. We reserve the right to update or modify these License Agreements at any time without prior notice. Continued use of the Site after changes constitutes acceptance of the modified License Agreements. Upon updating these License Agreements, any previously purchased Services under a Personal Use License Agreement will continue to be bound by all terms of the original Agreement they purchased for twelve (12) months from the date of the License Agreement update. Following the twelve (12) months, buyers will be subject to the terms of the newly updated Personal Use License Agreement.  

     

  2. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of Services. We cannot guarantee that Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to Services, resulting in interruptions, delays or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of Services. 

Governing Law

  1. These Terms are governed by and construed in accordance with the laws of the United States of America and the state of South Carolina.
